IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER. PLEASE READ SECTION 15 CAREFULLY.
By creating an account, accessing, or using the services provided by Tranx Financial Services d/b/a NadaPay ("Company, " "we, " "us, " or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use our Services.
NadaPay is a financial technology platform, not a bank. We provide a digital interface that allows users to:
Store and manage digital assets and fiat currency balances.
Send and receive payments globally.
Access virtual and physical payment cards.
Convert between supported currencies.
You acknowledge that specific financial services (including but not limited to custody of funds, card issuance, and currency exchange) are provided by our Third-Party Service Partners ("Partners"), which may include banks, trust companies, and licensed money transmitters.
Custody: Funds displayed in your Account may be held in pooled custodial accounts by our Partners for your benefit.
Cards: Payment cards are issued by our Partner Banks pursuant to a license from Visa or Mastercard.
Exchange: Cryptocurrency and FX conversion services are executed by our Liquidity Partners.
By using these features, you agree to be bound by the applicable User Agreements of these Partners, which are incorporated herein by reference.
You must be at least 18 years old and reside in a supported jurisdiction to use the Services. You represent that you are not a person barred from receiving services under the laws of theUnited States or other applicable jurisdiction (e.g., sanctioned individuals).
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your password.
You agree not to use the Services for:
Illegal gambling, sports betting, or lottery schemes.
Purchasing or selling illegal drugs, firearms, or adult content.
Money laundering, terrorist financing, or sanctions evasion.
Transactions involving "Shell Banks" or unlicensed money service businesses.
We reserve the right to freeze or close your account if we suspect prohibited activity.
Fees: A schedule of fees for transactions, withdrawals, and conversions is available in the App or on our Website. Fees are subject to change.
Limits: We may impose transaction limits (daily, weekly, monthly) on your account based on your verification level and risk profile.
Risk: Holding digital assets (stablecoins/cryptocurrency) involves risk. The value of digital assets can fluctuate.
No FDIC Insurance: Unless explicitly stated otherwise, digital assets held in your NadaPay wallet are NOT insured by the Federal Deposit Insurance Corporation (FDIC) or any other government agency.
You agree to receive all communications, agreements, and notices electronically. (See our full E-Sign Disclosure for details).
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALLWARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
IN NO EVENT SHALL NADAPAY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.
You agree to defend, indemnify, and hold harmless NadaPay and its Partners from and against any claims, damages, costs, liabilities, and expenses arising out of your use of the Services or breach of these Terms.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
ANY DISPUTE ARISING FROM THESE TERMS SHALL BE RESOLVED THROUGH BINDING ARBITRATION. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
